Constitution of the Orleans Amateur Fastball Association

Article I- NAME

 

The name of the organization shall be the Orleans Amateur Fastball Association and herein the Constitution and Bylaws, referred to as the OAFA.

 

Article II- JURISDICTION

 

1. The OAFA is responsible for the development of amateur fastball in the community known as Orleans and the surrounding areas.

2. The OAFA recognizes the authority of the Canadian Amateur Softball Association and

conducts its affairs consistent with the aims and principles and jurisdiction of that association.

 

Article III- AIMS AND OBJECTIVES

 

1. The purpose of the OAFA is to carry on within the community of Orleans and the surrounding areas and without pecuniary gain for its members, the following objectives:

a) Foster, develop, promote, and regulate the play of amateur softball (fastpitch) within Orleans and the surrounding areas.

b)Teach, promote, and practice the principles of fair play.

c)Encourage all eligible potential members to affiliate with the OAFA.

d)Establish and maintain alliances with associations devoted wholly or partially to the promotion of the game of softball.

e)Do all such things as may be deemed necessary for the promotion, development, and playing of softball (fastpitch) in Orleans and the surrounding areas.

 

2. The OAFA shall conduct its business without the purpose of financial gain for its members, and any profits or other accretions to the OAFA shall be used in promoting its objects.

 

ARTICLE IV- MEMBERSHIP

 

1. Association Membership- Membership and voting privileges in the OAFA shall be

composed of all parents and/or guardians of adolescent players registered with the organization plus any other adults volunteering their time supporting the aims and the objectives of the OAFA or registered as a team member.

2. Team membership-All players completing a registration form, paying gees as established by the OAFA Executive Council, and placed on a team shall be considered members of the OAFA

 

ARTICLE V- IMPEACHMENT

 

Any member of the executive council may be impeached by a two thirds majority of the total members of the Executive council or two thirds of a duly called General meeting for any of the following reasons:

 

a) missing three (3)consecutive meetings of the Executive council; no meeting to be held any closer than one (1) week apart;

b) acting contrary to the aims, goals, objectives, and or Bylaws of the OAFA;

c)acting in direct contradiction to a decision of the Executive Council or General Meeting.

 

ARTICLE VI- RULES OF ORDER

 

1. The OAFA shall hold an Annual General meeting in September of each year which is open to all Association members of the OAFA. It shall be chaired by the current president of the OAFA or his/her appointee.

 

2. Special General Meetings of the OAFA may be called by the Executive Council at its

discretion or shall be called by the Executive Council on presentation of a petition signed by at least 10% of the association membership. Notice of Special General Meetings shall be posted two weeks prior to the scheduled date of the meeting in local newspapers and in at least three public locations in Orleans. Special General Meetings shall be open to all Association members of the OAFA and shall be chaired by the current president of the OAFA or his/her appointee.

 

3. The OAFA Executive Council shall be elected annually at the Annual General Meeting by the eligible voting members of the OAFA in attendance.

 

4. The OAFA shall conduct all of its business in accordance with Robert's Rules of Order.

 

5. Bylaws may be passed or amended at a General Meeting or at any meeting of the Executive Council. Bylaws must be approved by at least three quarters of eligible voting members of the OAFA present at the General Meeting or at least two thirds of the total membership of the Executive Council.

 

6. Bylaws may be repealed or amended at a General Meeting or at any meeting of the Executive Council. Motions to repeal a Bylaw must be approved by at least three quarters of eligible voting members of the OAFA present at the General Meeting or at least three quarters of the total membership of the Executive Council. Motions to amend a Bylaw must be approved by at least three quarters of eligible voting members of the OAFA present at the General Meeting or at least two thirds of the total membership of the Executive Council.

 

7. Amendments (additions and deletions)to this constitution may be made only at a General Meeting of the OAFA. All amendments to this Constitution must be approved by at least three quarters of the eligible voting members of the OAFA present at the General Meeting.
